Abstract

SUMMARY

The Osaka High Court rendered a decision on 25 May 2011 that deals with third party liability of members of the management board in case of death of an employee caused by excessive labor (karōshi). For the first time, members of the management board of a “big public company (dai-kibo kōkai kaisha)” were, in addition to the liability of the company itself, a restaurant chain called Daishō, held liable to third parties under Art. 429 para. 1 Company Act. Moreover and without further explanation, the members of the board were held liable according to Art. 709 Civil Code as well. Appeals by both the company and the members of the board were dismissed on 24 September 2013. The plaintiffs were awarded damages amounting to 78.6 million YEN (about 600,000 EUR).
