Zur anstehenden Novellierung des japanischen Gesellschaftsrechtes

Abstract

Preparation of a fundamental amendment to the Commercial Code is under way. The stipulations relating to companies will be taken out of the Commercial Code and com-piled into a separate Code. The amendment will also include plenty of material changes such as the consolidation of the rules relating to kabushiki kaisha and yûgen kaisha, the abolition of the requirement of equipping a company with minimum legal capita and the introduction of a Japanese version of a limited liability company, just to quote some examples.
